TAG Sports Graphics

1. Acceptance

This End User License Agreement and Terms of Service ("Agreement") is between you ("User" or "you") and TAG Sports Graphics ("TAG Sports," "we," "us," or "our"), a business located in Boise, Idaho. By accessing or using the Home Base application at base.tagsports.net (the "Application"), you agree to be bound by this Agreement. If you do not agree, do not access or use the Application.

2. Description of the Application

The Application is a private, internal operations backend for TAG Sports Graphics. It manages the order-to-delivery workflow including order intake, design, production, shipping, and customer communication. The Application integrates with third-party services including Intuit QuickBooks Online, Etsy, and ShipStation to synchronize business data.

3. License Grant

TAG Sports grants you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for TAG Sports internal business purposes and in compliance with this Agreement and all applicable third-party API terms, including the Intuit Developer Terms of Service.

4. Authorized Use

The Application is intended exclusively for authorized employees and representatives of TAG Sports Graphics. You must be an authorized user with valid credentials to access the Application. The Application is for business use only.

To connect the Application to QuickBooks Online, you must be an authorized business user with authority to permit the Application to access your QuickBooks Online account. The Application will access your QuickBooks data only after you expressly authorize the connection through Intuit's OAuth 2.0 authorization flow.

5. QuickBooks Online Integration

The Application uses Intuit QuickBooks Online APIs to read financial and customer data. Your use of this integration is subject to Intuit's developer policies and API terms. You are responsible for your compliance with those terms.

• The Application accesses QuickBooks data on a read-only basis. We do not create, modify, update, or delete any records in your QuickBooks Online account.
• Data accessed may include invoices, invoice line items, and customer records stored in QuickBooks Online.
• OAuth access tokens are refreshed programmatically and stored securely on the server. The Application does not rely on the Intuit OAuth Playground or offline tools to obtain tokens.
• The Application captures the intuit_tid transaction identifier from API response headers for troubleshooting and support purposes.
• All API errors, including syntax and validation errors, are handled gracefully and logged with timestamps, error codes, and transaction identifiers for diagnostic purposes.

6. Other Third-Party Integrations

The Application also integrates with the following services, each on a read-only basis:

• Etsy — imports order and customer data from the TAG Sports Etsy storefront
• ShipStation — monitors shipping status and tracking information for existing orders

Additionally, the Application uses Resend to send transactional email notifications to customers regarding order status updates.

7. Data Access and Use

Data accessed from QuickBooks Online and other integrated services is used exclusively to provide the Application's functionality — specifically, to manage the TAG Sports order-to-delivery workflow. We will not sell, market, or otherwise distribute your data to third parties.

8. No Third-Party Distribution

TAG Sports does not export or distribute your QuickBooks data or any other integrated service data to third parties. The Application does not include any feature to export data to third parties. Any sharing beyond what is described in this Agreement and our Privacy Policy will require your explicit instruction or be compelled by law.

9. Data Security

We implement commercially reasonable safeguards to protect your data, including:

• TLS encryption for all data in transit
• AES-256 encryption for all data at rest
• Row Level Security (RLS) on every database table to enforce access controls
• Server-side processing of all API credentials and OAuth tokens — no secrets are ever exposed to the client-side browser
• Role-based access control limiting data visibility by user role
• Structured error logging for API interactions

You are responsible for protecting your login credentials and must promptly notify us if you suspect any unauthorized access or compromise of your account.

10. Data Retention

Data is stored and processed in the United States. Order and customer data is retained for business continuity and legal compliance purposes. System notifications are automatically purged after 30 days.

When you disconnect your QuickBooks Online account, we revoke OAuth tokens via Intuit's revocation endpoint and delete stored credentials from our database. Customer and order data that was previously synchronized is retained for business continuity, as it has already been incorporated into the order management workflow.

You may request deletion of your data by contacting us. We will process deletion requests within a reasonable time, subject to legal retention obligations.

11. Restrictions

You agree not to:

• Reverse engineer, decompile, or attempt to derive the source code of the Application
• Sublicense, distribute, or share access to the Application
• Attempt to access data belonging to other users or other QuickBooks Online accounts
• Use the Application in violation of any applicable law or third-party terms, including the Intuit Developer Terms of Service

12. Intellectual Property

All rights in the Application, its design, code, and documentation are reserved by TAG Sports Graphics or its licensors. Nothing in this Agreement transfers ownership to you except the limited license granted above.

13. Termination

This Agreement is effective until terminated. We may suspend or terminate your access at any time for breach of this Agreement or for any other reason at our discretion. Upon termination, we will stop accessing your QuickBooks data on your behalf. Retained data will be handled per our data retention policy and Privacy Policy.

14. Disclaimer of Warranties

The Application is provided "as is" and "as available" without warranties of any kind, either express or implied. To the maximum extent permitted by applicable law, TAG Sports Graphics disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation of Liability

To the maximum extent permitted by applicable law, TAG Sports Graphics shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Application, regardless of the cause of action or the theory of liability. TAG Sports Graphics' total liability shall not exceed one thousand dollars ($1,000).

16. Indemnification

You agree to indemnify and hold harmless TAG Sports Graphics from any claims, damages, or expenses arising from your misuse of the Application, your data, or your breach of this Agreement.

17. Governing Law and Venue

This Agreement is governed by the laws of the State of Idaho, without regard to its conflict-of-law principles. Any disputes arising under this Agreement shall be resolved exclusively in the state and federal courts located in Ada County, Idaho.

18. Changes to This Agreement

We may revise this Agreement from time to time. Material changes will be posted on this page with an updated "Last updated" date. Your continued use of the Application after any changes constitutes acceptance of the revised Agreement.
